We are seeking a Legal Counsel to focus on commercial transactions and a variety of other corporate matters. The role will support the Company’s US and EU locations for all general corporate matters and work on customer-facing transactions in the US and EU. Whilst the role has the attraction of considerable autonomy, working collaboratively as part of a small and fast-paced start-up operation is essential.
Experience
-
Strong academic credentials.

At least 5 years’ law firm and/or in-house PQE and exposure to working in a global environment

US experience would be desirable

Draft, review and negotiate and draft a variety of transnational commercial agreements including software development and licensing, service agreements, inbound license agreements

Knowledge and experience of open source software licensing – GPL, etc

Advising clients on structuring complex deals

Prior experience in a technology services or technology outsourcing environment

Experience in intellectual property and IPR best practices

Strong background and experience in securities and corporate governance

Prepare exhibits to SEC filings

Support the continuous improvement of standard form agreements, the development of policies and procedures for commercial agreements and develop and be able to provide training to business and sales groups

Experience in handling employment matters in the United States and Europe would be beneficial
Qualifications and Skills Required

BA or BS level (or equivalent)

5+ years relevant experience in software industry and/or legal practice

US and EMEA wide experience required

Excellent business judgment, strategic thinking and financial background

Must be very organized and have attention to detail as well as ability to multi-task and prioritize effectively

Flexibility and willingness to work on a broad variety of legal matters

Superior English language written and verbal communication skills

Excellent interpersonal skills, dynamic and highly team-oriented

Commitment to professionalism and collegiality is required

Languages would be desirable (particularly French)
